1. Acceptance of Terms & Business Scope

These Terms & Conditions ('Terms') govern all commercial interactions, wholesale price quotes, contract agreements, sample orders, and website use provided by Pukku Spices, an international export brand operating under Adept One25 Impex (registered in Kolkata, West Bengal, India).

By submitting an inquiry, issuing a Purchase Order (PO), or signing a sales contract, the buyer ('Client') agrees to be legally bound by these Terms.

2. B2B Wholesale Quotes & Minimum Order Quantities (MOQ)

All price quotations issued via formal Proforma Invoice (PI) or email are valid for 14 calendar days from the date of issue due to commodity price fluctuations in raw spice markets.

• Standard MOQs: 500 kg for high-value whole spices (e.g. Cardamom, Cloves) and 1 Metric Ton (1,000 kg) for ground spices and custom blends. • Sample Orders: Sample kits are dispatched via express courier (DHL/FedEx). Courier fees are charged to the client or offset against subsequent commercial orders. • Private Label Packaging: Custom artwork approval and plate charges must be finalized prior to production start.

3. Quality Assurance & Certification Standards

We guarantee that all exported products comply with the agreed technical specifications (ASTA color values, moisture levels, essential oil content, mesh size) and regulatory parameters:

• Phytosanitary & Health Certificates: Every export shipment includes mandatory Plant Quarantine Inspection & Health Certification. • Laboratory Analysis (CoA): Batch Certificate of Analysis issued by independent NABL-accredited laboratories (SGS, Geo-Chem).

4. Shipping Terms, Delivery & Incoterms 2020

Unless otherwise agreed in writing, commercial shipments are governed by Incoterms 2020:

• FOB (Free on Board): Title and risk of loss pass to the buyer once goods are loaded onto the vessel at Mundra, Nhava Sheva, or Kolkata port. • CIF (Cost, Insurance & Freight): Marine cargo insurance is covered up to 110% of the invoice value to the designated port of destination. • Lead Times: Standard processing and dispatch lead times range between 14–21 business days following receipt of payment confirmation.

5. Payment Terms, Governing Law & Jurisdiction

Payment terms accepted include Irrevocable Letter of Credit at sight (L/C) or Telegraphic Transfer (T/T).

Governing Law: These terms and any commercial contracts entered into shall be governed by and construed in accordance with the laws of India.

Jurisdiction: Any legal dispute or claim arising from contracts shall be subject to the exclusive jurisdiction of the competent courts in Kolkata, West Bengal, India.
